TERMS AND CONDITIONS OF SALE
1. GENERAL PROVISIONS
These Terms and Conditions govern the sale of exclusive musical compositions (“The Tracks”) through organichousemusic.com, owned and operated by ORGANIC HOUSE MUSIC (VAT: ES71121374S), with registered address at C/Viaje de Aguas 30 3ºB, 47008 Valladolid, Spain.
By purchasing a Track, the Buyer agrees to be bound by these terms.
2. NATURE OF THE PRODUCT
The Tracks sold on this website are unique digital assets. Each Track is sold as a “1 of 1” exclusive license, meaning that once a Track is purchased, it is immediately removed from the catalog and will never be sold to another party.
3. INTELLECTUAL PROPERTY & TRANSFER OF RIGHTS
Upon successful payment, the Buyer acquires 100% of the worldwide rights, title, and interest in the musical work (including Master, Stems, and MIDI files).
The Buyer has the right to release the track under any name or label.
The Seller (OHM) waives all rights to future royalties or credit, unless otherwise specified in a separate agreement.
4. NO-REFUND & CANCELLATION POLICY
Due to the digital nature of the products and the immediate transfer of exclusive ownership, all sales are final.
No refunds or exchanges: Once the download link is provided or accessed, the Buyer acknowledges that the exclusivity traceability is irreversible.
Prevention of Fraud: This policy ensures that every customer receives a “virgin” track that has never been in the hands of third parties after a refund.
5. PRICING AND PAYMENT
Prices are listed in Euros (€). Payment must be made in full through the provided payment gateways (Stripe/PayPal). The Seller reserves the right to modify prices at any time, but changes will not affect orders already placed.
6. DELIVERY OF GOODS
Upon completion of payment, the Buyer will receive an automated link to download a ZIP file containing the Mastered/Unmastered versions, Stems, and MIDI files (availables depending of each project). It is the Buyer’s responsibility to download and back up the files securely. The Daw Project never will be included in download ZIP file.
7. USER REGISTRATION
To purchase a Track, the Buyer must create an account. The data provided (email, name) will be processed according to our Privacy Policy and used for order fulfillment and, if consented, for our newsletter updates.
8. LIMITATION OF LIABILITY
The Seller shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Tracks, or the failure of a third-party record label to sign the Buyer’s work.
9. FILE DELIVERY POLICY
Due to the exclusive and 1-of-1 ownership nature of the digital assets sold at OHM, every purchase is subject to a strict security protocol to protect the integrity of your new sound:
Download Limits: Each purchase grants the buyer a maximum of five (5) download attempts per link.
Expiration Window: Download links will automatically expire ten (20) calendar days after the date of purchase.
Permanent Deletion from “The Vault”: To ensure that the buyer remains the sole and absolute holder of the work, OHM will permanently delete all associated files from our secure servers once the 20-day window expires or the download limit is reached.
Customer Responsibility: It is the buyer’s sole responsibility to download and create secure backups of all delivered materials—including Master, Stems, MIDI files, and the Copyright Assignment contract—immediately upon purchase.
Non-Replacement Policy: Under no circumstances will OHM provide replacement files or reactivate links once the files have been purged from our system for security reasons.
10. TAXES
All prices listed on the Website are exclusive of Value Added Tax (VAT) and any other applicable taxes. The final price, including the specific tax rate based on the customer’s billing location or country of residence, will be calculated and displayed during the checkout process before payment is finalized.
For customers within the European Union (EU), VAT will be applied according to the rates of the destination country (OSS/VIES system). Customers located outside the European Union may be exempt from VAT, though they remain responsible for any local taxes or duties applicable in their jurisdiction. VAT-registered businesses within the EU may provide a valid VAT ID at checkout for tax exemption under the reverse charge mechanism.
“B2B and Intra-Community Transactions (EU)” Business customers located within the European Union (excluding Spain) with a valid VAT identification number may be eligible for VAT exemption under the Reverse Charge mechanism. To apply, customers must provide a valid VAT ID during the checkout process. Our system uses automated validation services to verify the status of the provided VAT number. If the validation is successful, VAT will be deducted from the final amount. OHM reserves the right to cancel any order where a VAT number is found to be invalid or used fraudulently.
11. GOVERNING LAW AND JURISDICTION
These terms are governed by the laws of Spain. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Valladolid, Spain.
