COPYRIGHT ASSIGNMENT AND

RELEASE OF RIGHTS

This Agreement is entered into by OHM (organichousemusic.com) (hereinafter

“Company”) and the Buyer (hereinafter “Buyer”) for the transfer of the track titled:

“[TRACK]” in exchange for the payment received.

ARTICLE ONE: DEFINITIONS

• 1.1. Site: Refers to the Internet Site with the web address of

organichousemusic.com owned by Company.

• 1.2. Musical Composition: Consists of music or sounds, including any

accompanying words, recorded or composed by the use of musical instruments,

computer programs and/or any other sound production equipment.

• 1.3. Copyrighted Work: Consists of any and all Musical Compositions or other

works uploaded by Producer, in any form, to the Site, including all files provided in

the final download.

• 1.4. Derivative Composition: Includes any modified version or versions of a

Copyrighted Work.

• 1.5. Confidential Information: Includes all information relating to Company

personnel, actual and prospective customers, and specifically all information

concerning the production, creation, Producer-identity, and storage of the Work.

• 1.6. Service: Means the services provided by Company for facilitating the buying

and selling of custom made Musical Compositions via the OHM platform.

ARTICLE TWO: LICENSE & COPYRIGHT ASSIGNMENT

• 2.1. Temporary License: Until the purchase is finalized, Company grants Buyer a

temporary, exclusive, worldwide license to use and modify the Work. No right to

publicly perform the Work is granted until full assignment.

• 2.2. Copyright Assignment: Upon purchase, the temporary license terminates and

Company hereby irrevocably assigns and transfers to Buyer all right, title, and

interest in the Copyrighted Work. Buyer may institute actions to protect these rights

in the name of Company, Buyer, or both.

• 2.3. Property Rights: Upon assignment, Buyer owns all right, title, and interest in the

Work and all copyrights relating to its design, production, or composition.

• 2.4. No Further Use: After the Effective Date, Company will cease all use of the

Copyrighted Work and will not challenge the Buyer’s exclusive use.

ARTICLE THREE: REPRESENTATIONS AND WARRANTIESCompany warrants and represents that:

• 3.1. Company is the owner of the Copyrighted Work and has not previously sold or

transferred it to any third party.

• 3.2. The Work has never been made public or presented to any third party or

streaming platform (Spotify, SoundCloud, etc.).

• 3.3. The Work was not created while the Producer was employed by a third party in

the music industry.

• 3.4. The Work does not feature any unregistered loops or samples and is

entirely original.

• 3.5. The Work is not constructed from prepackaged music construction kits.

• 3.6 & 3.7. Company will not share the Work with third parties nor disclose the

original Producer’s identity.

ARTICLE FOUR: CONFIDENTIALITY

• 4.1. Company agrees to hold in trust and confidence all Confidential Information

during and after this Agreement. Company shall not disclose any Confidential

Information to anyone outside of the Buyer without written approval.

• 4.2. Buyer owns all right, title, and interest in the Confidential Information.

ARTICLE FIVE: GENERAL PROVISIONS

• 5.1. Governing Law; Jurisdiction: This Agreement is governed by the laws of

Spain. Both parties submit to the exclusive jurisdiction of the state courts located in

Spain for any proceedings arising from this Agreement.

• 5.2. Counterparts: This agreement may be signed physically or electronically,

having the same legal effect.

• 5.3. Partial Invalidity: If any provision is found invalid, the remainder of the

Agreement remains enforceable.

• 5.4. Indemnification: Company agrees to indemnify and hold Buyer harmless

against any costs or liabilities arising from third-party copyright infringement claims.

Buyer shall not be liable for lost profits or damages arising out of the use of the

Work.
